  • Advising one of the sponsors of a major LNG project in Latin America in relation to LNG gas sales agreements and assignments, shareholders agreement, joint venture agreement, project financing documents and operational agreements;
  • Acting for a Middle Eastern Company on a negotiated acquisition of an upstream asset in Libya for an integrated LNG project, the related joint venture agreement and shareholders agreement;
  • Advising a major European upstream oil & gas company on the operation, restructuring and renegotiation of its Libyan assets;
  • Advising one of the founding shareholders of a US$1 billion upstream exploration and production company with assets on Africa in relation to shareholder agreements, subscription agreements and the founders agreement;
  • Acting for a European/Middle Eastern joint venture on the acquisition of a controlling interest in an Asian national oil company, including advising on the shareholders agreement and equity subscription for the acquisition finance;
  • Advising a North American company on the acquisition of an interest in a North African LNG project, including advice in relation to the corporate structure, shareholders agreements, joint venture agreements, LNG sale and purchase agreements and arrangements and project financing documentation and arrangements;
  • Advising a joint venture company on the negotiation of a tertiary oil recovery production sharing agreement and on the acquisition of a rights relating to a gas project in Egypt and the related financing arrangements;
  • Acting for a major North American corporation on the disposal of its North African business through the sale of shares in the holding and subsidiary companies;
  • Advising a consortium of international companies on their dispute with the government of a Middle Eastern country re: termination of their concession agreement;
  • Advising Encana Corporation on the US$200 million sale of holding company and its producing interests in Chad;
  • Advising the financiers of an international pre-export finance project;
  • Acting for a European company on the acquisition of a group of companies holding producing assets in the Middle East;
  • Advising a North Amercian company on its US$1.5 billion enhanced oil recovery project in North Africa, including the production sharing agreement, project structuring, joint venture agrrangements, operational and commercial agreements and project financing arrangements;
  • Advising a Canadian company on its production sharing agreement acquisitions, negotiations and operations in the Middle East, CIS, Latin America and North Africa;
  • Acting for an integrated North American company on the acquisition of a company holding producing assets in North Africa and the subsequent tertiary oil recovery project, including re-negotiation of the terms of the concession agreement, joint venture arrangements with the National Oil Company and conversion of the concession into a production sharing agreement;
  • Advising a UK company on the acquisition of a company in the Far East holding producing assets and the subsequent gas development;
  • Advising a US company on its unitisation and joint venture arrangements in Vietnam;
  • Advising a Middle Eastern conglomerate on the private equity structure, investment and shareholder agreement and all related corporate issues and documentation for the establishment of an upstream exploration and production company;
  • Acting for an international joint venture company on an integrated liquefied natural gas project in Africa, including the acquisition of assets to supply equity gas, shareholder and joint venture arrangements, inter governmental agreements, host government agreements, concession and project agreements, tolling and gas sale and purchase agreements and project financing arrangements;
  • Advising Kerr McGee on their US$3.5 billion sale of its UK operated and non-operated North Sea exploration and production business;
  • Advising Veba Oil & Gas on the US$2.1 billion sale of its international operated and non-operated business having business operations in 12 countries including an integrated project financed LNG project in Latin America;
  • Advising the underwriters on the dual stock exchange listings of a major national oil company;
  • Advising various oil & gas companies on their Initial Public Offerings on the London AIM;
  • Advising the underwriters on the London AIM listing of an oil & gas E&P company holding assets in Russia;
  • Advising various US and European international operating companies on all aspects of their operational work in North Africa, West Africa, Middle East, CIS, Far East and Latin America including EPC, construction, service, drilling, oil and gas sales and transportation agreements.
