Georgia is a Commercial Associate who splits her time between the Guildford and London offices; she trained at Shoosmiths and qualified in September 2017 before joining Clyde & Co in January 2018.

Georgia advises individuals and corporates on a variety of commercial matters, including the preparation of services agreements, sale of goods agreements, software licence agreements (in particular in relation to online gaming), GDPR-compliant policies and procedures, and also advises on data protection issues. Georgia has a particular focus in the cash and payments industry, having advised various independent ATM deployers, international payment organisations, payment institutions and payment service providers on a variety of matters, including the preparation of cash in transit ('CIT'), supply of cash and ATM agreements and the preparation of associated FCA-related advice.

Expérience

• Cash / Payments Industry: successfully advising on a complex funding model for our independent ATM deployer client, dealing with risk in and liability for cash at each stage of the cash cycle, including related trust arrangements. This involved negotiating a suite of agreements (including a supply of cash agreement, liability for cash agreement and irrevocable undertaking) in a tripartite arrangement between the bank supplying cash, our independent ATM deployer client and the cash in transit company responsible for transporting the cash.
• Cash / Payments Industry: advising a variety of clients, from foreign exchange and money remittance companies to payment service providers and independent ATM deployers on their business arrangements and preparing advice and legal opinions on regulatory compliance with the FCA, the Payment Service Regulations 2017, PSD2 and related legislation.
• Long-term Energy Services Agreements: successfully negotiated two 25-year Energy Services Agreements for our property developer client for the provision of energy by certain energy services companies (ESCOs) to two of its recently developed commercial and residential developments containing centralised energy centres.
