Bongubuhle is an Associate in the Johannesburg office with experience in general insurance, commercial and corporate matters. 

Her areas of focus are advising insurers and financial institutions on an array of matters including aspects of company law, corporate governance and regulatory issues. She has also assisted in complex corporate and commercial transactions involving entities in the oil and gas, renewables, mining and financial sectors.

In the insurance sector, Bongubuhle has provided various major non-life insurers with liability assessments and advice on insurance coverage disputes as well as assisting in the litigation process. 

Her litigation exposure includes defending the Department of Health and various private healthcare networks in medical malpractice claims, advising on the merits and assisting in litigation proceedings. She has also advised on and assisted in the representation of large mining entities and financial institutions in commercial disputes. 

Prior to joining Clyde & Co in 2024, Bongubuhle completed her articles at a leading international law firm after obtaining her LLB from the University of Johannesburg. 

Experience

• Advised several large South African insurers in respect of limiting claims exposure and policy response in respect of general liability, subrogated defences, and fire claims, as well as assisting with recoveries.
• Acted for the Department of Health and a number of private hospital networks in defending medical negligence claims, with a focus on claims relating to cerebral palsy, retinopathy of prematurity, orthopaedic and other injuries.
• Assisted in the closure of a major transaction for one of South Africa’s largest financial services providers, where the financial service provider and a multinational banking and financial services conglomerate combined their investment businesses to create the second largest asset manager in South Africa.
• Reviewed and advised a Ugandan petroleum company on the restructuring of its group structure to operate on an international scale with a particular focus on corporate governance and operational considerations.
• Advised a mining company in a collaborative initiative between itself, the national railway custodian and the Department of Agriculture and Rural Development to mitigate the impact of locust outbreaks on the rail corridor in the Northern Cape. 
• Advised a platinum mining company on global and local perspectives on ESG and climate change best practice as well as what the company’s board ought to do to align the company with these considerations.
• Assisted in the merger of a large South African financial services provider’s fiduciary operations with that of another to enable accessible wills and estate administration.
• Assisted a large FSP acquire the remainder of the shareholding in a life insurance company thus acquiring full control of the insurer.
• Advised an authorised FSP on the appropriateness of its reliance on the client due diligences performed by another entity within the same corporate group for purposes of FICA and provided advice for compliance with the Act.
