Johann has extensive legal experience gained in multiple jurisdictions in the Asia Pacific and African regions.

He specialises in corporate, commercial and regulatory advice for insurers, intermediaries, health care providers and other clients in the financial services industries. He has also acted for entities in a variety of sectors, including entities credit provision, steel, construction, aviation and energy sectors.

In addition to the above, Johann advises clients on matters pertaining to product development and internal business structuring.

Johann has also practiced in South Africa and the South East Asian territories and has experience with cross-border commercial arrangements and the regulatory frameworks in these markets.

Johann obtained his LLB (cum laude) from the University of Pretoria and was admitted to the High Court of South Africa in 2011.

Experience

Johann's recent experience includes acting for:

  • Mergers and acquisitions – Acting for the founding shareholders of the Bond & Credit Company in the sale of the group to the Tokio Marine group
  • Mergers and acquisitions – Acting for a large Australian insurer on the disposal of various businesses
  • Mergers and acquisitions – Acting for the developers in the sale of the 120MW (DC) Bomen Solar Farm to Spark Infrastructure
  • Reinsurance – Advising a number of reinsurers and cedants on commercial and regulatory aspects of reinsurance arrangements in Australia with particular focus on reinsurance collateral arrangements
  • Corporate – Advising an Australian fintech company on a corporate group restructure, governance and employee share option plan in advance of external funding
  • Regulatory – Advising Australian insurers on compliance with insurance and credit regulations in relation to new to market products
  • Regulatory –  Advising various South African financial services entities in relation to interpretations of applicable financial services laws and regulations, product structuring and roll-outs and commercial structuring of interests and contractual relationships in the financial services sector
  • Regulatory enforcement – Acting for various product suppliers and financial services providers in relation to investigations and enforcement interactions with the South African Financial Services Board
  • South East Asia – Acting for various entities entering into emerging markets in South East Asia, including Myanmar and Laos, and advising on transactions and local laws including corporate structuring, licensing, business conduct, dispute resolutions and employment laws
