Latifah assists in advising corporations in relation to foreign direct investment (FDI) where she works on facilitating the establishment of foreign companies in the Kingdom of Saudi Arabia (KSA).

She also assists in matters such as incorporation, corporate restructuring and issues concerning the regulatory regimes within the Kingdom, including advising a range of companies on major corporate transactions in the Kingdom, including mergers and acquisitions, joint ventures, commercial agency, day-to-day regulatory and administrative compliance and matters in relation to employment and labour law.

Latifah joined the firm in 2017 after completing a 7-month internship program with the firm and graduating with a Bachelor of Law from Prince Sultan University in Riyadh and is fluent in both Arabic and English.

Experience
  • Assisting in establishing and licensing companies in Saudi Arabia.
  • Advising on appropriate corporate structure for doing business in the KSA for numerous companies.
  • Assisting clients with corporate formations, including reviewing and drafting constitutional documents (i.e. powers of attorney, board resolutions and articles of association) both in English and Arabic.
  • Drafting various relevant documents such as the joint venture agreements and the share/asset purchase agreement to effect the transaction between the parties and legal memorandums in both English and Arabic.
  • Conducting and maintaining legal research related to various transactional matters including, but not limited to, corporate, labour and employment, contract, commercial, and general operational concerns, and providing legal analysis and opinions related to such research.
  • Advising clients on Government Tenders and Procurement Law and Anti-Corruption and bribery Law.
  • Assisting various clients with the liquidation of their companies in the KSA.
  • Reviewing various agency, distributorship and franchising agreements.
  • Advising foreign principals on matters arising out of agency and distribution agreements with the local agents and distributors.
  • Drafting and reviewing employment contracts and internal work regulations in compliance with labour law and regulations and amendments.
  • Assisting clients with reviewing various internal regulations and bylaws.
