Anna Nerush advises investors on acquisitions, joint ventures, divestments, exits, and alternative financing of energy and power infrastructure-related companies and assets.

Anna focuses on the structuring and execution of joint ventures and equity investments and disposals of companies and assets throughout the energy chain, including the upstream oil and gas sector, the midstream sector (including energy transportation and storage), and the refining and utility sectors. Her clients are involved in projects ranging from onshore oil & gas to offshore developments and LNG, to gas to power generation.

In addition to M&A, Anna advises clients on the development of offshore and onshore E&P projects. Her clients benefit from her extensive knowledge of and experience in negotiating commercial agreements, including joint operating agreements, production sharing contacts, concession agreements; marketing; sales; offtake and storage agreements for crude, gas, and petroleum products; and power purchase agreements.

Experience

• Advising an independent oil & gas company on all matters relating to the development of an integrated deep water gas project offshore Myanmar, including full pre-FEED commercial contractual framework and negotiation of the supply, pipeline transportation and sale of gas to Thailand as well as renegotiation of the existing PSC.
• Advising a Middle East NOC on the drafting of its model form exploration and production sharing agreement (EPSA) and, subsequently, on the negotiation of an EPSA covering a large offshore block with a European oil major.
• Advising a commodities trader on its negotiations of Petroleum Agreement with the government of Ghana and GNPC.
• Advising a commodities trader on its proposed acquisition of a participating interest offshore Cote d’Ivoire.
• Advising an independent oil & gas company in connection with withdrawal of several European majors from Myanmar across multiple blocks and related transfer of participating interests and operatorship.
