Bilingual in Arabic and English, Naji has over 15 years of experience advising on corporate matters, particularly in the Middle East and North Africa. He specialises in cross-border mergers and acquisitions (M&A), joint ventures, private equity, investment funds, private placements, corporate restructurings, licensing and regulatory matters, Islamic finance and foreign direct investment. He has worked with clients operating in most business sectors,  including education, healthcare, media, manufacturing, technology, energy and financial services.

Naji holds academic qualifications in common law, civil law and Shariah law. He graduated from the University of Westminster in London with a Master of Laws degree (LL.M) in International Commercial Law ("Merit" awarded). He also completed his undergraduate law degree (LL.B) at Sagesse University in Beirut and a postgraduate degree in Islamic banking at the Institute of Islamic Banking & Insurance in London.  Naji is admitted to the Beirut Bar Association and is a "Registered Foreign Lawyer" with the Solicitors Regulation Authority in the UK. He is also a member of the International Bar Association. He joined Clyde & Co’s Dubai office in June 2006.

  • Advising NMC Health on multiple transactions, including the acquisition of Provita International Medical Centre in Abu Dhabi for a value of approximately $160 million.
  • Advising on the corporate restructuring of a Middle East regional group involving 200+ companies in diverse sectors including construction, trade and shipping.
  • Advising Millennium Offshore Services on the sale of MOS Superholdings, a global provider of large scale offshore accommodation vessels in the MENA and Asia Pacific Region.
  • Advising Varkey Group on the sale of its interest in the healthcare sector in the UAE to Mediclinic International for approximately USD 220 million.
  • Advising Lamprell plc, an LSE listed entity on the acquisition of OSE listed Maritime Industrial Services, a major oilfield services/engineering corporation for more than USD 300 million.
  • Advising a Swiss insurer on the acquisition of an insurance business based out of Lebanon with substantial operations in the UAE, Kuwait and Oman.
  • Advising a regional private equity firm on multiple investments and divestments in the Middle East.
  • Advising a multi-national manufacturer of construction material on multiple M&A transactions in the Middle East, as well as on a corporate restructuring exercise.
  • Advising on the structuring and establishment of a USD 900 million investment fund in the Cayman Islands and a USD 700 million real estate fund in the BVI.
  • Advising on numerous joint ventures, including for the establishment of schools in Malaysia and for various construction and energy projects.
  • Advising on the corporate restructuring of a UK-based university with operations in Dubai.
  • Business-minded approach having completed 3 client secondments: Akzo Nobel, GEMS Education and Arab Media Group (a subsidiary of Dubai Holding).
