She focuses her practice advising family businesses and regional conglomerates on corporate governance and sustainability, family office and wealth management, alternative / amicable dispute resolution as well as legal, compliance, commercial and intellectual property risk management in commercialisation, operations, R&D, and procurement. Reina focuses on Saudi Arabia.

In addition, Reina has advised local and multinational corporations on mergers and acquisitions (M&A), divestitures, restructurings, regulatory affairs and general corporate and commercial advisory matters.

Whilst working in private practice and in-house at major conglomerates and family businesses, Reina advised on matters in the education, financial services, healthcare, hospitality, infrastructure, and retail and consumer sectors.

Reina is admitted as a solicitor in England and Wales.

Prior to joining Clyde & Co, Reina worked for Linklaters in London and Dubai, advising on a variety of corporate transactional and advisory matters; she served as senior legal counsel with Nestlé Nespresso S.A. in Switzerland; and general counsel of Aluminium Manufacturers Co. Ltd / Zuheir A. Zahran & Co Group family business. 

Reina is fluent in English, Arabic and French.

Experience
  • Advising major family businesses operating in the retail and construction sectors across the UAE, Kuwait and Saudi Arabia, on confidential matters relating to international expansion, asset and operational risk management, legal structuring, succession planning, family governance charters and alternative dispute resolution. 
  • Advising a high net worth individual on a multi-billion dollar leveraged bank/bond bid-financing for the acquisition of a financial services entity, including a post-acquisition major corporate restructuring.
  • Advising Nestlé S.A. and Nestlé Nespresso S.A. on multi-million-dollar market entry, operations, intellectual property, and research and development projects, in relation to: (i) procurement of direct and indirect materials for the approx. CHF 700 million expansion projects in Avenches and Romont factories; and (ii) the development and operational roll-out of the new paper-based compostable capsule.
  • Advising Barclays Bank plc on the disposal of their retail portfolio in the UAE to Abu Dhabi Islamic Bank PJSC. 
  • Advising Al Hilal Bank on the establishment of the UAE’s first Global Balanced Fund.
  • Advising Istithmar World on the sale of several hotel businesses to Investment Corporation of Dubai.
  • Advising Emaar Malls PJSC on the acquisition of a 51 per cent stake in Namshi General Trading LLC.
  • Advising Deloitte Global Services Limited on the acquisition of Monitor’s global strategy consulting business. 
  • Advising Aluminium Manufacturers Co. Ltd on construction subcontracts for multiple stations and depots in the new Riyadh Metro project.
  • Advising multinational retail and consumer, healthcare, and insurance companies in relation to their confidential management and holding structures, compliance, investments, data privacy/protection and management, and asset/business sales.
