Ena is a Senior Associate based in our Munich office. She focuses on all aspects of corporate and commercial law, in particular corporate housekeeping, drafting, and negotiating of commercial agreements as well as mergers and acquisitions (M&A). Ena advises clients of all sizes and industries, with a particular focus on the insurance industry, such as insurers, insurance intermediaries and brokers as well as Insurtech companies. Additionally, Ena advises clients from, e.g., the automobile, tech, energy, logistics, healthcare and real estate industry.

Ena also frequently advises insurers on the underwriting of transactional liability insurances (W&I insurance).

Ena is actively engaged in Clyde & Co’s Pro Bono as well as Diversity & Inclusion initiatives.

Prior to joining Clyde & Co, Ena was an Associate in the Munich office of another global law firm. She studied law at the Ludwig-Maximilians-University in Munich and is admitted to practice law in Germany.

Experience

Advising in corporate transactions (M&A), including preparation of due diligence reports, drafting of purchase agreements (SPA / APA) as well as preparation of signing and closing, e.g.:

  • advising Finlex, a leading financial lines and cyber insurance sector platform operator, on its acquisition of the cyber business operations of Erichsen, Germany’s leading cyber insurance specialist, creating Europe’s largest technology-based cyber insurance ecosystem;
  • advising an international provider of ship management solutions on the acquisition of a shipping company;
  • advising a German insurer on its planned acquisition of a German pet insurer.

Regular advice to companies in various industries relating to corporate law, such as corporate housekeeping (in particular drafting of articles of association, shareholders' resolutions and agreements, appointment and dismissal of managing directors, establishment of companies and branch offices), and advice relating to the structuring of employee participation schemes.

Regular advice to clients relating to commercial law, e.g.:

  • Advising a German health insurance company on a number of cooperation agreements in connection with a sales promotion campaign, such as with a manufacturer of a digital health application as well as with a leading German retail chain;
  • Advising a Norwegian wind energy service provider on a consortium agreement with a leading German energy company for an offshore wind project on the occasion of a call for tenders;
  • Advising a German automotive supplier on a consortium agreement with the project partners of a government-funded project in the field of autonomous driving with a total project volume of 19 million Euro.

Advising various insurers on the underwriting of transactional insurance policies (W&I insurance) with an aggregate value of several billion Euro.
