José Tomás has been involved advising local and foreign clients (including a Chilean family office) in day to day matters regarding the creation and running of Chilean companies and corporations and their relationship with clients and service providers, with a focus on the sport-retail industry.
He has also advised a Chilean private investment fund in the acquisition of local and foreign targets through mergers and acquisitions and financing agreements.
He has also advised a Chilean software licensing company in the sale of software licenses through SaaS agreements.
He has also advised a Chilean copper mining company in the financing and refinancing of its credits, for the operation of its mine in the north of Chile.
He has also collaborated in the creation and implementation of several land easement projects (in rem conservancy right) in the central and southern regions of Chile.
Experience
Advised an investment and operating firm based in Miami, Florida, in the due diligence processes for the acquisition of a majority shareholder stake in various Chilean startups, for a total combined amount of US$ 4.25 million.
Advised a Chilean private investment fund manager, in the acquisition of a 34% interest worth US$ 741.552 in a holding of companies in the plastics recycling industry, and in the purchase of 100% of the shares of a newly created company that runs a chain of more than 16 premium liquor stores, in a deal worth US$ 5.2 million.
Assisted a Chilean shared-office space company in an agreement executed with a Chilean private equity firm and later in the investment of US$4 million by a Chilean private investment fund manager.
Assisted in the negotiation and sale of a 70% stake in a Chilean holding specialized in underwater salvage operations, to a Canadian industry leader in underwater inspection, maintenance and repair.
Counsel to a Chilean copper mining company in a financing agreement with its Senior Lenders and a copper offtake agreement worth US$10 million and later with the terms and conditions of the refinancing agreement and amendment to the offtake contract with both lenders and one of its shareholders, for the total amount of US$16 million.
Counsel to Chile’s first non-profit dedicated to the establishment and funding of land easements (in rem conservancy right) with numerous private third-parties.
