Gill is regularly involved in assisting (re)insurers, intermediaries and incoming and outgoing controlling entities in the life and general insurance sectors with corporate transactions including mergers, acquisitions and divestments; long term and general insurance portfolio transfers; contractual transfers of reinsurance business; group re-organisations; warranties and indemnities insurance transactions (buy-side and sell-side); and joint ventures. She has also worked on the reconstitution of insurance and reinsurance companies and court-approved cross-border mergers to form 'Societas Europaea' (European companies).
On the commercial side Gill assists with distribution arrangements; outsourcing arrangements; third party administration agreements; terms of business agreements; insurance agency agreements; and reinsurance agreements.
Gill's insurance regulatory experience includes: establishment and authorisation of insurers (and expansion of authorised classes of business) and intermediaries; change of control applications and advice; withdrawal of insurance licences; advice on non-admitted insurance business; advice on distribution channels; corporate governance and fitness and probity advice; review of policy and customer documentation for compliance with regulatory requirements; premium financing; anti-money laundering obligations of regulated entities anti-bribery; and sanctions. She also regularly advises on data protection issues, including personal information collection statements and breach response.
Gill is a 'Next Generation Lawyer' for insurance in The Legal 500 APAC 2018 and 2019. Gill is admitted as a solicitor in Hong Kong, England and Wales, and Ireland.
