Emma joined the Clyde & Co corporate team in October 2018 after a year of practice as an employment lawyer at a law firm based in London's West End. Since joining Clyde & Co, Emma has gained extensive experience dealing with general corporate transactions including acquisitions and disposals, cross-border and domestic joint ventures, equity investments, shareholder arrangements, corporate restructurings and general corporate and commercial advisory matters. She has acted for clients across a broad range of sectors, including the energy, real estate and healthcare sectors. 

Experience
  • Advising on the sale of a portfolio of hydroelectric power assets by way of share purchase, including advice on the regulatory regime and grid connection arrangements.
  • Advising on the sale of a hotel group for the sum of £96m by way of share purchase, including advice on shareholder loan and third party debt arrangements.
  • Advising a fast food chain in connection with a share capital raise in the sum of £10m and share transfer to fund its expansion, including advice on its bespoke pre-emption process.
  • Advising a leading subsea services provider on an internal group reorganisation, including a sale of its business and assets to certain subsidiary companies.
  • Advising a leading property developer on the corporate aspects of securing a loan facility in the sum of £118m to fund its development, including advice on an escrow arrangement.
  • Advising a shareholder on the funding of a joint venture partnership arrangement specialising in turning non-recyclable plastics into clean energy, including advice on the shareholders' agreement and articles of association.
  • Advising a portfolio of healthcare companies on an internal group reorganisation to create an incentive based structure, including advice on a share exchange arrangement.
Qualifications & publications

Emma graduated with a degree in English and Philosophy from Cardiff University before completing the Graduate Diploma in Law and Legal Practice Course at the College of Law in Guildford. Emma is a native Dutch speaker.
