Experience

Litigation

• Negotiating with opposing parties to achieve settlement outcomes while balancing costs preservation against liability exposure risk.
• Managing a portfolio of civil litigation matters including drafting pleadings, affidavits, applications and settlement agreements, with oversight from initiation to conclusion. 
• Advising on potential liability arising from public infrastructure, construction-related matters, professional indemnity and insurance coverage.
• Briefing and co-ordinating with technical medical, financial and construction experts to obtain specialist opinions affecting quantum assessment, acting as the interface between legal and non-legal stakeholders.
• Conducting client consultations and trial preparation, ensuring strategic alignment ahead of proceedings. 
• Performing practice management responsibilities including timekeeping, file administration and review of vendor invoices.

Corporate

• Reviewing transactional and constitutional documents including shareholders agreement, share subscription agreements, memoranda of incorporation, sale of shares agreements and security documents.
• Drafting legal opinions and conducting research on wide range of legal issues including contractual and regulatory issues, enforceability of guarantees, financial services regulation, impact of conditions precedent in sale of shares transactions, corporate veil piercing, and binder agreement compliance.
• Advising on company law compliance under the Companies Act, 2008 in relation to company registration, director liability, share subscriptions, subsidiary relationships, financial assistance provisions and winding up procedures.
