Clyde & Co and ALMT Legal act for Excelsoft on agreement with CycloneHaven

Clyde & Co and its associated Indian firm, ALMT Legal, have acted for Excelsoft in their arrangements with CycloneHaven, a group company of Infinitas Learning, Netherlands.

The agreement, under which the parties have agreed arrangements regarding the ownership, adaptation and exploitation of Excelsoft's proprietary software for use in the evolving and emerging global e-learning market, allows learning through an interactive mode based on printed and pre-existing learning content of leading text and knowledge books.

The transaction involved Excelsoft assigning certain of its proprietary software to CycloneHaven with shares being taken up by the parties in a joint venture established to market the state of the art e-learning and interactive learning platform/technology. The transaction will assist both CycloneHaven and Infinitas Learning significantly in enhancing their position as leading learning content providers, both in terms of content and technology.

Excelsoft will continue to commercialise and exploit its software in the Indian market. Sudhanva D, Promoter and CEO of Excelsoft, said that he was delighted with the way in which ALMT (who have acted for Excelsoft for a number of years) worked alongside Clyde & Co in both India and the UK in order to get this transaction completed in an 'efficient and very compressed timetable'. He went on to mention that the way in which the technology and corporate teams of the two firms worked in tandem to match the speed and intricacy demanded in this transaction meant that he would recommend them to peers without any hesitation.

Alan Meneghetti and Simon Vere Nicoll, Partners in Clyde & Co's Corporate Group who acted for Excelsoft, stated that they are extremely pleased with the manner in which this transaction proceeded and that it was "another example of the synchronised and cohesive way in which Clyde & Co and ALMT continue to work together".
