Hailing was called to the Singapore Bar in 2011, and her corporate practice focuses on real estate with a hospitality specialisation.
Within the hospitality sector, Hailing advises on a wide range of transactions involving hotel ownership, hotel management, franchising, timeshare and co-working in the Asia-Pacific region. Hailing has worked with international and regional hotel operators and owners on their transactional matters, such as hotel management deals and structuring of their cross-border real estate investments. Hailing also helps these hotel operators with their general corporate and operational matters.
Hailing is also experienced in equity capital markets transactions and corporate actions involving listed real estate entities such as REITs and business trusts, where she was earlier involved in many of the initial public offerings (IPOs) and secondary offerings undertaken by REITs and business trusts in Singapore, as well as the pre-IPO structuring of several hospitality trusts with local and international property portfolios. Hailing had also advised several REITs and business trusts on their post-IPO acquisitions (such as hotels and commercial properties) as well as their on-going legal and regulatory compliance obligations.
Regional hotel management and franchise transactions – Advising international hotel operators on their projects in the Asia-Pacific region, which include preparation of hotel management and franchise documents, coordination of local corporate and land due diligence exercises, localisation of transaction agreements for compliance with local laws and regulations, and assisting with general corporate matters for their regional subsidiaries.
Hotel operational matters – Advising international hotel operators on the legal and regulatory requirements for the operations of their Asia-Pacific portfolio hotels.
Cross-border real estate investments – Advising listed real estate developers / owner-operators on their cross-border real estate investments in different Asia-Pacific countries.
