Amalia is a practicing Advocate in Tanzania with twelve years' experience dealing with complex legal matters relating to M&A, mining, energy, regulatory and the overall commercial practice. Currently Amalia heads our corporate team in Tanzania. Prior to joining Clyde & Co, Amalia worked with international law firms based in London and has done numerous cross border transactions within and outside of East Africa across various sectors. Also, she has represented clients and been involved in negotiations with Government authorities particularly on matters relating to framework agreements, power purchase agreements, production sharing agreements, gas supply agreements and the like. Her knowledge and experience in Tanzania laws is exceptional and she has a unique ability to analyse legal transactions from both the legal and commercial perspectives which is appreciated by clients. 

Amalia has been recognised in the Legal 500 Private Practice Powerlist 2024 for M&A in Africa. 

Expérience

• Advising, drafting documents and conducting a due diligence on the target company for acquisition of a microfinance company in Tanzania and purchase of the USD 3 million loan notes.
• Advising an American company in relation to its USD 30 million telecommunication towers acquisition from one of the mobile service providers in Tanzania.
• Drafting and procuring merger approval certificate in relation to a GBP 400,000 acquisition of a 45% interest of one of the leading five star hotels in Tanzania.
• Conducting due diligence and preparing merger application documents in relation to a USD 13.8 million for acquisition of one of the leading insurance companies in Tanzania.
• Preparing and lodging merger documents at the Fair Competition Commission with respect to the acquisition of a participating interest in a Brazilian oil and gas company. 
• Preparing and lodging merger documents at the Fair Competition Commission for the acquisition of a majority stake in a local brewery company by a South African brewery company.
• Conducting due diligence of two transportation companies in a USD 70 million acquisition by an Asian company.
• Conducting legal due diligence in a USD 2.5 million deal for an acquisition of a Tanzanian oil distributing company.
• Conducting a due diligence of one of the companies holding a port operator licence in its international acquisition by a Chinese company.
• Conducting a due diligence on all security documents on behalf of a leading and the largest Tanzanian bank to ensure that the securities were in order and enforceable. The due diligence was done in preparation for an acquisition by a British bank having its subsidiary in Tanzania.
• Advising a Chinese telecommunication company on its USD 29 million project with a Zimbabwean Government. The project involved drafting of agreements and legal due diligence. Also, advising the same company in its negotiations with the Ghanaian, Ugandan and Ethiopian Governments on a telecommunication project. 
• Advising a Kenyan airline in all their operations in Tanzania including compliance and licensing under Tanzanian laws.
• Advising a telecommunication company on going public in order to comply with the amendments of the law. This involved reviewing of the prospectus, registering the public company and liaising with the Capital Markets Authority.
• Leading a legal team in relation to a USD 20 million project on financing of an agriculture project in Tanzania.
• Advising prominent international airline companies in relation to joint venture arrangements and application for exemptions from the Fair Competition Commission.
• Advising on a USD 4 million transaction involving the purchase of a school in Tanzania by a British company.
• Advising a UK listed mining company on their USD 35 million bond issuance to the Tanzanian and Kenyan capital markets authorities.
• Advising an ASX listed company on their USD 70 million mining activities in Tanzania including assisting in an application for a graphite mining licence, bond issuance and other matters relating to capital markets securities.
• Advising on a USD 40 million IPO for a gold mining company to be listed in a stock exchange.
• Advising a group of international lenders to a large gold mining company in Tanzania relating to various loans advanced to the company and how the same may be affected due to a dispute between the Government and the gold mining company.
• Representing clients in competition disputes against the Fair Competition Commission including a dispute between the Fair Competition Commission and a major cigarette manufacturing company in Tanzania.
