Hadia is an associate in the Dar es Salaam office.  She predominantly works in the corporate department and has worked with our team on mergers & acquisitions, data protection, oil & gas, mining, insurance, regulatory compliance and employment. Hadia joined Clyde & Co as a trainee in February 2021, prior to which, she trained with both local and regional law firms. Hadia worked for Yapi Merkezi Inşaat ve Sanayi A.Ş. on secondment where she advised and assisted with various local and international transactions, employment matters as well as alternative dispute resolution.

Hadia pursued her undergraduate degree programme at the University of Dar es Salaam and thereafter pursued her Post Graduate Diploma in Legal Practice at the Law School of Tanzania. Hadia is an Advocate of the High Court of Tanzania and a member of the Tanganyika Law Society.

• Advising a world leading tourism company on an acquisition deal of USD 11 million involving four high end tourist businesses in Tanzania. We advised from Tanzania law perspective across M&A, regulatory, real estate, litigation, tax and drafted the underlying transaction documents.
• Advising and assisting companies in establishing their business in Tanzania.
• Conducting due diligence on companies with operations in Tanzania to ensure compliance with existing laws.
• Assisting with the preparation of merger clearance applications at the Fair Competition Commission.
• Drafting and reviewing commercial agreements for clients.
• Assisting various foreign companies with organising their statutory fillings at the Business Registration and Licensing Agency (BRELA) and overall provision of company secretarial services.

Data Protection

• Assisting companies with registration as data controllers and / or data processors at the Personal Data Protection Commission.
• Advising on and drafting data breach response plans and consent forms in line with personal data protection laws in Tanzania.
• Advising on international transfers of personal data.
• Reviewing various internal documents and policies and conducting a gap analysis for purposes of identifying areas of non-compliance with Tanzania personal data protection laws.
• Assisting with reviewing and filing quarterly compliance reports for data controllers and data processors in Tanzania.
• Advising on the required consents relating to the collection and processing of sensitive personal data in accordance with personal data protection laws in Tanzania.

Intellectual Property

• Advising on and assisting companies with trademark registration in Tanzania.
• Managing registration of trademarks in other jurisdictions including, Kenya, Zambia and Rwanda.
• Advising on and assisting companies with amending registered trademarks in Tanzania.

Banking & Debt Finance

• Advising Mahenge Resources Limited on its USD 179 million loan from CRDB Bank PLC, DBSA and IDC to develop the Mahenge Graphite Project.
• Advising on general and specific aspects applicable to bills of exchange and promissory notes and their enforceability in Tanzania.
• Advising and assisting with registration of charges and mortgages.

Mining

• Advising Mahenge Resources Limited on various aspects related to the Mahenge Graphite Project in Tanzania.
• Advising various mining companies on the effects of the Mining (Local Content) Regulations.

Oil and Gas

• Advising and assisting major oil companies on various legal issues.
• Reviewing and advising on agreements relating to the purchase of liquefied natural gas (LNG) and compressed natural gas (CNG) in Tanzania.
• Advising various oil and gas companies on the effects of the local content requirements in the sector.

Regulatory

• Advising various international and local investors with their compliance obligations and managing regulatory issues across a wide range of sectors in Tanzania.
• Assisting on insurance matters, particularly marine insurance, property insurance, professional indemnity insurance and financial lines as well as takaful insurance products in Tanzania.
• Advising on the establishment and operations of International Non-Governmental Organisations in Tanzania.
